Terms of Service

1. Acceptance of Terms

By accessing or using the Exoa website and API services at exoa.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Exoa is a document intelligence API that extracts structured, LLM-ready data from 60+ file formats including PDF, DOCX, XLSX, images, audio, and more. The Service is provided via a REST API and web dashboard.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and API keys. You must provide accurate information and keep it up to date.

You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • Upload files containing malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service to process illegal content or for unlawful purposes
  • Circumvent rate limits or abuse the Service in a way that degrades it for other users
  • Reverse-engineer, decompile, or disassemble the Service
  • Resell access to the Service without our written consent

5. API Usage & Rate Limits

API access is subject to the following rate limits:

  • Write operations (file uploads, conversions): 60 requests per minute
  • Read operations (document retrieval, status checks): 300 requests per minute
  • Daily limit: 1,000 requests per day
  • Maximum file size: 100 MB per upload

We reserve the right to adjust rate limits to maintain service quality. Exceeding limits will result in HTTP 429 responses.

6. Billing & Payments

Exoa offers a free tier of 15,000 pages of document processing. After the free tier is exhausted, usage is billed at $0.0015 per page on a pay-as-you-go basis.

Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for usage beyond the free tier. All charges are non-refundable unless otherwise required by law.

We may change pricing with 30 days' notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

7. Intellectual Property

Your content: You retain all rights to the files you upload and the extracted output. Exoa does not claim ownership of your content and does not use your files to train models or for any purpose other than providing the Service to you.

Our service: The Exoa service, including its software, design, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Uploaded files are processed and not stored permanently unless you choose to retain them.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that extraction results will be 100% accurate. Document parsing quality may vary depending on file format, quality, and complexity.

10. Limitation of Liability

To the maximum extent permitted by law, Exoa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Termination

You may close your account at any time through the settings page. We may suspend or terminate your account if you violate these Terms, abuse the Service, or engage in fraudulent activity.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
